Drea's practice focuses on securities, corporate governance, corporate finance, mergers and acquisitions, and general corporate matters. She has experience in SEC reporting and disclosure, initial public offerings, advising on state and federal securities laws, and raising capital through private placements of equity and debt securities. Drea also advises clients on general business issues, frequently serving as outside general counsel to her clients, and advising on issues including entity formation, contract negotiation, and business transition planning.

Throughout the pandemic, as a component of her corporate finance work, Drea has helped her clients navigate the ever-changing requirements applicable to Paycheck Protection Program (“PPP”) loans and forgiveness. She also advises on strategies for handling PPP loans in M&A and other transactions.

Drea is the co-author of the financing chapter for Advising Oregon Businesses. She frequently speaks and writes on finance, M&A, and business succession topics.

First Mortgage Bond Offering

In November and December 2020, Tonkon Torp represented PGE in its offering of $230,000,000 First Mortgage Bonds in two tranches ($160,000,000, 1.84% Series due 2027 and $70,000,000, 2.32% Series due 2032).

M&A and Bioscience Expertise Combine for Client Acquisition

The acquisition of Tonkon Torp client TomegaVax by San Francisco-based Vir Bio marks a significant boon for Oregon’s growing role in the bioscience industry. TomegaVax attracted favorable attention from the VC community for its work in developing vaccine therapies and preventions for major infectious diseases including AIDS, malaria, hepatitis, and tuberculosis.
The firm helped form TomegaVax when it spun out of the OHSU research facilities and set up facilities at the Oregon Bioscience Incubator in Portland. Drawing upon their deep bench in corporate finance and M&A, as well as their expertise representing bioscience companies, the firm positioned TomegaVax as a growth oriented company with a well-defined exit strategy.
Attorneys David Forman and Drea Schmidt represented TomegaVax in its acquisition by Vir Bio, which counts ARCH Venture Partners and the Bill & Melinda Gates Foundation among its investor group. As a testament to Oregon’s growing prominence in the bioscience industry, Vir Bio will keep the R&D arm at the Oregon Business Incubator, which has doubled in staff since the acquisition.
Tonkon Torp’s expertise and familiarity in representing bioscience companies includes the planning and organization of the nonprofit OTRADI in 2007, and its development of the Oregon Bioscience Incubator in 2013. The firm also provides government relation services to the Oregon Bioscience Association.

Tonkon Represents Opus Agency in Equity Investment Transaction

Tonkon Torp’s Mergers & Acquisition Practice Group represented client Opus Agency in a significant equity transaction with private equity firm Fan Creek Capital, providing substantial additional growth capital to Opus. Opus, a global corporate events and experiential marketing agency headquartered in Beaverton, Oregon, serves Fortune 1000 clients such as Salesforce, Amazon, Intel and Alaska Airlines.
The multi-faceted investment transaction included a corporate restructure, equity sale and equity rollover. Opus founders remain owners and retain leadership roles in the business, which will continue to be headquartered in Beaverton. Debt financing for the deal was provided by Chicago-based Monroe Capital.
Jeff Cronn led the transaction team, which included attorneys Drea Schmidt, Claire Brown, Mark LeRoux, David Forman, and Michael Millender.

Diverse Team Aids Greenbrier in Joint Venture

Tonkon Torp acted as Oregon corporate counsel for its long-term client The Greenbrier Companies, Inc. in finalizing a 50/50 joint venture with Watco Companies, LLC. The venture combines the two companies’ railcar repair, refurbishment and maintenance businesses into a new organization, GBW Railcar Services, LLC.
Led by M&A attorney Sherrill Corbett, the multi-discipline Tonkon Torp team for this matter included Jeffrey Woodcox, Tom Palmer, Drea Schmidt, David Petersen, Claire Brown, Scott Seidman, Bob Carey, Darcy Norville, and Jeanette Schuster.
Headquartered in Lake Oswego, Oregon, The Greenbrier Companies, Inc. is a leading supplier of transportation equipment and services to the railroad industry. With 39 railcar repair, refurbishment, and maintenance shops (14 of which also perform tank car repairs and maintenance), the new joint venture is now one of the largest independent railcar repair shop networks in North America.

Tonkon Torp Represents Avid Health in Sale to Church & Dwight

Tonkon Torp was counsel to privately held Avid Health, Inc. in its cash sale to Church & Dwight Co., Inc., a Princeton, New Jersey based, publicly traded consumer products company with a portfolio of personal care and household product brands.
Founded in 2005, Vancouver, Washington-based Avid Health had grown to become the market leader of chewable vitamins and nutritional supplements. In the sale to Church & Dwight, Avid Health was represented by Tonkon Torp corporate attorneys Kurt Ruttum and Andrea Schmidt as well as a team of specialists in real estate, tax, executive compensation and intellectual property.

Tonkon Torp and Law Firm Alliance Partner Facilitate Key Technology Merger

Tonkon Torp represented Key Technology in its acquisition of Belgium-based Visys N.V. The deal, valued at approximately $21 million, created a single, complete source of high-performance digital sorting technologies for food processing and other industrial markets. The transaction involved substantial due diligence regarding intellectual property litigation matters and the acquisition of a company partially owned by Belgian regional government entities.
Corporate finance and securities lawyers Ronald Greenman, Tom Palmer, Jeffrey Woodcox and Drea Schmidt led the team from Portland. They engaged with Law Firm Alliance partner Everest, in Brussels, to enhance communication and timely closure of the deal with Visys.
