In his transactional practice, Eric interacts with clients and businesses every day to determine how he can be most valuable to them.
Eric's corporate practice focuses primarily on merger and acquisition transactions, debt and equity financing transactions, and commercial contracting matters. He regularly advises companies on general corporate matters, including corporate governance, financing issues, restructurings, and ongoing strategic, transactional and regulatory matters. Eric serves as an outside general counsel and strategic advisor to several private companies. He also represents early state companies and other clients on the private placement of securities and securities law compliance. Additionally, Eric advises health care clients on regulatory issues including HIPAA, Stark Law, and Anti-Kickback. He has experience drafting and negotiating agreements including asset and stock purchase agreements, debt and equity financing documents, and entity organizational and governance documents. Eric also has advised clients on issues related to COVID-19 relief programs, including Paycheck Protection Program loan forgiveness appeals.
Before going to law school, Eric knew he was attracted to the transactional practice of law and all the opportunities that kind of practice facilitates for business. “Being a transactional attorney is about finding a way to have all the parties come to an agreement, and when the transaction closes, everyone is better off than when they started,” he says.
When it comes to those transactions, Eric uses his creativity throughout the drafting process to prepare contracts. “It’s like a puzzle,” he says. “You’re trying to figure out how to precisely and concisely write what the parties have agreed to and also anticipate and allocate the risks stemming from possibly remote future events.”
Eric also uses his critical-thinking skills to work through the challenge of using an appropriate level of his and his client’s resources on a project—matching the level of work to the client benefit.
