Corporate Law Definition
Corporate law defines the legal rules and practices concerning the life of a company.
This branch of the law affects (i) all types of companies, whether their form and/or business activity is non-commercial, whether they are a limited liability company, whether they are listed or unlisted and more globally (ii) all businesses, groups, economic and lucrative patrimonial organizations which can be linked to a company through, for example, assets, profit-sharing, savings, or an authorization to act on its behalf.
Corporate law covers all stages in the life of a company from its incorporation to its dissolution, via the daily business organization, governance, and important stages such as operations in share capital, mergers, splits, and investments.
Corporate law is transversal by nature and is often applied together
with other branches of the law, notably tax, social, and economic law. Thus tax
regulations and fiscal laws may have a direct impact on a company’s type of
incorporation or on the choice of an operation. The company’s business activity
also determines the specific rules that may be applicable and have an
implication in regards to corporate law. It is advisable to keep an open mind
when analyzing a situation with regard to corporate law.
Corporate law is applicable in mergers and acquisitions and entails the business operations of the concerned companies.
Corporate law also defines the rules and practices applicable to the relations between partners or shareholders and with the company itself.
Finally, corporate law is used in conflicts or litigations with regard to the company and its business activity, its relations with managers, partners or shareholders as well as with other companies with whom a business operation has been implemented under the rules of corporate law.
