Jáuregui y Del Valle, S.C. was founded in 1975, it is the result of the merger between Jáuregui y
Navarrete, S.C. and Del Valle Torres, S.C and is one of Mexico’s foremost law

which include mergers & acquisitions, domestic and

advised foreign governmental entities, including the US Department of Commerce
in connection with the negotiation of various chapters of NAFTA, the US
Department of the Treasury on the US$20 billion emergency financial package for
Mexico, the US Department of Justice and the US Department of State.  The Firm advised Grupo de Inversiones Suramericana in its acquisition of the Mexican part of a US$3.8 Billion pension
fund. More recently the Firm advised Terrafina in structuring the US$1 Billion
public placement of two Real Estate investment funds with a portfolio of more
than 140 properties in Mexico through a Real Estate Investment Trust (FIBRA),
further advising Terrafina in the planning, structuring and acquisition of more
than 80 industrial properties in Mexico valued at approximately US$600 million and
also advised Walton Street Capital in the structuring and placement of a US$250
million publicly traded trust (CKD) focused on Real Estate Property in Mexico.

The Firm has a unique expertise in mergers and acquisitions, spin-offs
of financial institutions and any kind of commercial entities, and takeovers of
public companies, corporate governance matters, structuring and launching
consumer financial programs, proceedings in Mexico under the various Hague
conventions for international legal cooperation, financial, legal and tax
structures related to communications and any kind of commercial projects,
transactions, joint ventures, strategic alliances, project finance and general
regulatory matters in the energy, oil and electricity industries. The Firm is a
leader in regulatory issues relating to antitrust notifications, clearances and
