Steve works with clients on a broad range of business and transactional matters, including buy-and sell-side mergers and acquisitions, venture capital and other equity and debt financing, operating agreements, technology transactions, joint ventures, vendor and customer contracts and securities law compliance. He brings a hands-on, experience-based approach tailored to achieving each client’s specific business objectives.
Steve also serves as outside general counsel and strategic adviser to most of his clients and their executive officers and boards of directors. In this role, Steve advises on matters such as corporate governance, transaction structuring, capital formation, executive compensation, workplace issues, and day-to-day legal matters.
Steve’s clients include venture capital funds, including fund formation, special purpose investment vehicles, high-net worth investors, and strategic investors. He also represents emerging, growth and mature operating companies in diverse industries such as data security, technology, health care, food and beverage, consumer products and services, business-to-business services, media and entertainment, financial services, manufacturing and distribution.
