Shannon S. Frazier advises Delaware business entities and financial institutions on complex commercial and financing transactionsacross a broad range of industries.

Shannon counsels clients on matters involving Banking and Finance Law, Commercial Finance Law, Corporate Law, Equipment Finance Law, Project Finance Law, Securitization and Structured Finance Law, and Business Organizations, including LLCs and Partnerships. She advises clients on the formation, operation, governance, restructuring, and dissolution of Delaware corporations, limited liability companies, statutory trusts, partnerships, and series entities.

Her practice includes representation of banks, trustees, financial institutions, private equity participants, and other transaction parties in securitization, structured finance, secured lending, and cross-border transactions. Shannon also provides third-party legal opinions relating to Delaware corporate entities, statutory trusts, limited liability companies, partnerships, and secured transactions under the Delaware Uniform Commercial Code.
