Samantha Barbere’s practice primarily focuses on mergers and acquisitions and general corporate governance. Samantha represents both general corporate and healthcare clients and advises businesses on a broad range of complex transactional matters.

I represent both buyers and sellers in the purchase and sale of businesses through stock and asset transactions. I frequently partner with tax counsel to advise clients on potential tax implications of proposed deal structures and counsel clients on the most tax advantageous structure for their transactions. I typically represent middle-market and start-up companies, whose businesses span a wide variety of industries including, technology based companies, life sciences, health services, and food and beverage.

I represent clients in the negotiation and preparation of a wide variety of commercial agreements. I also assist clients with entity formation, corporate structuring and restructuring, capital raises, and the dissolution or winding down of their business.

I have assisted clients with their investments in cannabis-related companies and advise on a wide range of issues including legal planning, corporate guidance, and compliance strategies.

I see consumer priorities driving an influx of mergers and acquisitions between the healthcare and technology sectors. In an effort to keep up with consumer demands, there is a competitive interest among businesses to break free of in-person limitations. I believe that consumers’ fierce desire to gravitate toward businesses that prioritize remote convenience will lead healthcare industries to seek to implement creative remote-based technology, thereby causing an influx of M&As between the two industries.
