Samantha R. Barbere

Samantha’s practice focuses on mergers and acquisitions, private company transactions, and corporate governance. She represents clients across a range of industries, including technology, professional services, and healthcare, guiding them through complex business transactions, regulatory compliance, and governance matters. With extensive experience in transactional law, Samantha helps businesses navigate acquisitions, divestitures, joint ventures, and other high-stakes deals, delivering practical legal counsel from initial structuring through closing.

I represent both buyers and sellers in the purchase and sale of businesses in a wide variety of industries including, technology companies, life sciences, healthcare services and providers, and food and beverage. My work includes cross-industry M&A, deal structuring, due diligence, and negotiation of transaction demands.

I represent clients in the negotiation and preparation of a wide variety of commercial agreements. I also assist clients with entity formations, corporate structuring and restructuring, and the dissolution or winding down of their business. For healthcare clients, this often includes structuring arrangements to align with industry regulations and compliance requirements.

Most recently, my practice has honed in on advising on, and assisting healthcare clients in the implementation and use of a management service organizations (MSOs) or the “friendly PC” model and other internal restructuring systems as part of preparing businesses for private equity-backed acquisitions and other M&A transactions.
