Rod Talaifar advises public and private companies, boards of directors and management teams on corporate transactions, governance matters and strategic business issues. Based in Vancouver, British Columbia, he works with clients across a range of industries, including mining, royalty and streaming, forest products, merchant banking and financial services.
Rod’s practice includes Corporate Law, Mergers and Acquisitions Law, Mining Law, Natural Resources Law and Securities Law. He regularly assists clients with complex domestic and cross-border transactions and capital markets matters, including:
- take-over bids;
- mergers and acquisitions;
- initial public offerings;
- project finance transactions; and
- cross-border debt and equity offerings.
He also advises public companies and boards of directors on corporate governance matters, securities law compliance, internal investigations, shareholder matters and proxy contests. Rod represents companies listed on the New York Stock Exchange, Nasdaq Stock Market, Toronto Stock Exchange and other international exchanges. His work frequently involves mining and natural resource companies operating in Canada and internationally.
In addition to his legal practice at Sangra Moller LLP, Rod has served as an adjunct professor at the University of British Columbia Faculty of Law since 2010, where he teaches Advanced Corporate Law – Advising Public Companies.
