Reid also advises executives and boards of directors on sales of control and internal investigations. We advise on entity formation, capital raising and acquisitions and sales of businesses. This work includes private placements of equity and debt securities and public offerings registered with the U.S Securities and Exchange Commission and listed on national securities exchanges. Much of our work is helping our clients comply with the federal and state securities laws, including ongoing reporting and other obligations with the SEC.
Many clients do not readily comprehend the securities laws that apply with respect to raising capital and the implications under federal and state securities laws, as well as laws applicable to buying and selling businesses.
In our representation of public companies there are a host of issues that can arise. We recently were involved in a proxy contest relating to a public company, which did not go well, but was intriguing to me from a drafting perspective and kept us busy 24/7.
Keeping clients informed of legal changes in the corporate finance world and making sure that they engage us earlier rather than later in any sales or acquisition processes, because legal input in structuring a deal before a letter of intent is signed can be extremely valuable up front.
As a student I had my own hard shell clamming business and was fascinated by the U.S. stock market; working in the securities law area was a natural progression for me.
