Nicolas Charest is an associate with the intellectual property group, practising at Fasken’s Montreal office. He represents clients in a range of technology and commercial transactions relating to the ownership, protection and exploitation of intellectual property and big data.
He advises major and start-up companies in the intellectual property and commercial aspects of mergers and acquisitions and financing. Nicolas structures, drafts, and negotiates a wide range of licensing and commercial agreements, including content, trademark, know-how licenses, service agreements, reseller arrangements, joint development, technology licensing, technology transfers and collaboration, manufacturing, supply, distribution, services and consignment agreements. He also developed extensive experience related to open-source software and matters related to the licensing, transfer and ownership of data.
Nicolas also regularly assists clients in drafting and negotiating IT-related agreements including outsourcing, software licences, SaaS agreements, license agreements, terms and conditions, procurement documents and terms of sale.
Finally, Nicolas helps clients in obtaining, protecting and enforcing trademarks, domain names, trade secrets and copyrights in Canada and abroad, including clearance, prosecution, and enforcement actions.
