Nick is an experienced corporate lawyer who has been advising on mergers and acquisitions, capital raising and corporate transactions for over 24 years in key financial markets including Melbourne, Sydney, and London.
Nick has substantial experience in working with domestic and foreign, listed, and unlisted companies on complex corporate transactions, corporate advisory and structuring matters. He is passionate about taking a holistic view of transactional and structuring processes and working alongside all disciplines within his client’s businesses to solve problems and meet business objectives.
Nick also regularly advises on Australian securities laws and the ASX listing rule requirements in relation to the grant and administration of equity incentives for listed and unlisted companies.
Nick’s recent transactional experience includes advising:
- Geosyntec Consultants, Inc (a Blackstone investee company) on its acquisition of JBS&G Australia;
- Nash Capital on its acquisition of Blue Hippo Laundry group;
- founder of Excelplas on his sale to the Halliwell Group, a division of McLarens;
- Banner Asset Management on its joint venture arrangements with Resimax Group in relation to the development of 2 masterplanned communities in Beveridge, Victoria;
- founders of Ecology & Heritage Partners on their sale to Fyfe Group (a Mercury Capital investee company);
- founders of Abril Building Solutions and Abril Restorations on their sale to Ambrose Construct Group (a CPE Capital investee company);
- First Pick Marketing on the sale of its Western Australia agricultural interests to Macquarie Asset Management and Fresh Produce Group;
- shareholders of Opteon Group on the partial sell down to, and investment by, Anacacia Capital; and
- Waterco Limited on its acquisition of Davey Water Pumps from Amotiv Limited.
