Michele A. Masucci

Michele Masucci is the leader of the firm’s Health Care practice. She advises health care industry clients, with particular experience serving as general and special counsel to private equity firms and other investors looking to make investments in the industry. Her practice also involves providing counsel on the interplay between life sciences companies and the use of their products in a clinical setting.

What do you focus on?

As a former hospital in-house legal counsel, I know what keeps you up at night. Having been on both sides of the table, I have the unique combination of experience that enables me to guide health care clients through their day-to-day operational issues to their next business venture.

Health Care Transactions

I focus my practice almost exclusively on representing for-profit health care entities, and currently represent health care focused middle-market private equity firms through their initial acquisitions and various add-ons of portfolio companies. I also routinely advise providers in connection with joint ventures, mergers and acquisitions and contractual arrangements.

Accountable Care and Alternative Delivery Systems

With the Accountable Care movement in full effect, it’s more important than ever for providers to participate in alternative delivery systems that drive efficiencies and contain costs. I advise my clients from the initial analysis of their existing models through the formation and implementation of new operational models, such as ACOs, bundled payments and medical homes.

Fraud & Abuse and New York State Regulatory

Clients, particularly those out-of-state who are involved in M&A, turn to me to help them navigate the New York regulatory environment. They also rely on my industry knowledge and years of experience to minimize the risk of regulatory challenges. By identifying transaction structures most likely to attract the attention of state and federal regulatory agencies, I can address the underlying licensure, fraud and abuse and other issues that often stand in the way.

Life Sciences

The exchange of knowledge and ideas between the health care and life sciences industries is accelerating. I represent health care providers and investors in their dealings with life sciences and technology companies.
