Biography
Mark D. Lubin is a Partner at Lubin Olsonin San Francisco, California. His practice focuses on Real Estate Law, as well as business and finance matters related to real estate and commercial transactions. He advises clients on real estate acquisitions and sales, debt and equity financing, mortgage lending and loan workouts, capital raising, and entity formation, with an emphasis on real estate and business transactions.
Mr. Lubin co-founded the firm’s predecessor, Stein & Lubin LLP. During more than three decades of legal practice in San Francisco, he has represented real estate developers, investors, and lenders in a broad range of transactions. His work also includes advising closely held businesses on formation, operational matters, and business sales.
His real estate clients include purchasers and developers involved in industrial, office, retail, and other commercial properties, as well as land and residential real estate. Many of these matters involve new construction or redevelopment projects. Mr. Lubin regularly assists clients with negotiating and closing a variety of real estate financing arrangements, including conventional bank financing, securitized loans, mezzanine financing, and ground lease structures.
Mr. Lubin has also handled numerous real estate partnership and limited liability company formations, ranging from two-party joint ventures to multi-investor real estate funds. His work in this area has included participation in drafting and reviewing legislation affecting California business entities. He previously served as Chair of the Partnerships and LLCs Committee of the State Bar Business Law Section. In that role, he contributed to legislative efforts related to the California Limited Liability Company Act, the California Revised Uniform Partnership Act, the California Limited Partnership Act, and legislation establishing limited liability partnerships. He has also worked on legislative matters addressing issues such as real estate transfer taxes and regulations affecting private mortgage lending.
A significant portion of Mr. Lubin’s practice involves mortgage finance. He has represented a range of lenders, including banks and private mortgage lenders, in many types of loan transactions. His experience includes structuring and documenting loan transactions, loan purchases, and loan workouts.
Mr. Lubin frequently writes and speaks on legal topics related to partnerships, limited liability companies, and real estate transactions. He has co-authored four legal treatises published by CEB and the State Bar Business Law Section addressing the formation and operation of partnerships and limited liability companies. He has also written articles for legal and industry publications and has spoken at continuing legal education programs and conferences sponsored by real estate organizations.
