Mr. Winterbottom has substantial experience advising on special purpose acquisition company (SPAC) matters. He served as a key advisor to Iron Horse Acquisitions Corp. (NASDAQ: IROH) in connection with its initial public offering in December 2023 and Iron Horse Acquisition II Corp. (NASDAQ: IRHO) in connection with its initial public offering in December 2025. He has also worked on multiple deSPAC transactions involving public and private companies.
In addition to transactional matters, Mr. Winterbottom drafts and negotiates a wide range of commercial agreements, including nondisclosure agreements, employment agreements, consulting agreements, license agreements, master services agreements, customer and vendor agreements, equity incentive plans, shareholder agreements, letters of intent, purchase agreements, and settlement agreements. He works closely with clients to identify legal and business considerations associated with complex transactions and commercial relationships.
Mr. Winterbottom advises clients across a variety of industries, including private equity, software as a service (SaaS), artificial intelligence and large language model (LLM) companies, government contractors and subcontractors, accounting firms, industrial manufacturing businesses, nonprofit organizations, family offices, and pharmaceutical, chemical, and healthcare companies.
His legal background also includes experience with appellate-level federal litigation, family court and landlord-tenant matters, post-conviction relief proceedings, civil judgment enforcement and collections, and legislative drafting.
Mr. Winterbottom earned his Juris Doctor from Harvard Law School, where he served as a legal intern with the Philadelphia District Attorney’s Office. He received his undergraduate degree, summa cum laude, from the University of Pennsylvania. Before attending law school, he worked as a legal assistant at Salaman Law.
