Katherine A. Heptig is a partner at Rivkin Radler LLP in Uniondale, New York, and is a member of the firm’s Business Dissolution, Corporate, Health Services, Trusts & Estates, and Tax Practice Groups. Her practice focuses on transactional tax law and executive compensation, general business law for corporations, limited liability companies, and partnerships, and ERISA and employee benefits matters, including multi-employer health and welfare plans and retirement plans for sponsors and participants.
She counsels individuals and businesses on a wide range of matters related to corporate operations and reorganizations, mergers and acquisitions, tax-free spin-offs, and business succession planning. Her work also includes advising on executive compensation arrangements; qualified and non-qualified pension and deferred compensation plans; equity and incentive compensation; change in control and severance arrangements; executive employment agreements; shareholder and operating agreements; joint ventures; corporate governance; commercial contracts; and audit and other tax controversy matters.
In her Health Care Law practice, Ms. Heptig advises physicians, group medical practices, and other health care organizations on transactional matters involving tax, regulatory compliance, and corporate governance. She has experience establishing management services organization (MSO) structures for licensed professionals across multiple disciplines and preparing those entities for investment through private placements. In addition, she represents not-for-profit corporations in connection with formation, obtaining and maintaining tax-exempt status, and addressing ongoing operational, compensation, and governance issues.
