Represented Laureate in the largest educational acquisition in Latin America and has 20+ M&A transactions in the educational industry. He advised Pearson and GEG in the transfer of their participation of UTEL to Linzor Capital Partners, including among others, (i) setting up the data room and assistance in the legal due diligence; (ii) negotiating, drafting and executing transactional-documents, including, among others, stock purchase agreements, and (iii) obtaining pre-closing authorization from the Federal Economic Competition Commission (Comisión Federal de Competencia Economica) and the Foreign Investment Commission (Comisión Nacional de Inversiones Extranjeras).
Represented Samsonite and General Motors in corporate transactions in Mexico for more than 20 years. Recently participated in the representation of Samsonite for the acquisition of Tumi Holdings Inc. on transactional, financing and structure issues, as well as General Motors in a real estate swap transaction for the construction of its corporate headquarters and a state-of-the-art shopping center.
Represented Wirecard A.G. in the acquisition of the Mexican assets of Citigroup's prepaid card business, as well as OCC Mundial in the acquisition of Empleolisto.com, coordinating the preparation of contracts and negotiations processes, which had regulatory, intellectual property, technology, software and data protection issues, both in Mexico and in the United States.
