Jean regularly counsels issuers and 501(c)(3) organizations on matters involving tax-exempt bonds, IRS audits, post-issuance compliance, Schedule K reporting for Form 990, and remedial actions related to bond-financed property dispositions. She also advises local authorities throughout New York State on governance, contract negotiation, state law compliance, and real property matters.

She frequently works with financial institutions on credit enhancement transactions, direct purchases of tax-exempt bonds, draw-down bond structures, and other lending arrangements.
In addition to her public finance practice, Jean has experience supporting mergers and acquisitions, including due diligence and transactional matters involving manufacturing and municipal service businesses operating across multiple states.
Representative Experience
- Served as counsel to a 501(c)(3) organization in connection with the construction of an educational and wellness facility and redevelopment efforts involving mixed-income housing in a downtown urban neighborhood.
- Advised a municipality regarding project management and redevelopment opportunities related to a federally funded interstate highway relocation project.
- Provided tax counsel to state and local housing finance agencies in connection with tax-exempt bond financings for qualified residential rental projects utilizing 4% low-income housing tax credits, letters of credit, Freddie Mac TEL programs, and cash collateral structures.
- Advised as tax counsel on tax-exempt revenue bond issuances supporting charter schools, private secondary schools, and higher education institutions.
- Served as tax counsel for tax-exempt conduit revenue bond issuances involving a multi-state hospital system acquisition.
- Advised on pooled tax-exempt bond programs administered by a state financing authority.
- Represented underwriters in bond transactions involving New York State local issuers financing higher education facilities.
- Served as bond counsel to the City of Syracuse Industrial Development Agency in connection with School Facility Revenue Bonds issued from 2018 through 2020 to support renovations and improvements within the Syracuse City School District Project.
