Biography

Hedley acts for listed and unlisted companies, private equity sponsors, institutional investors and strategic acquirers on corporate transactions. His clients operate across all sectors, including the energy and resources, technology and agribusiness sectors.

Hedley advises on the full range of corporate transactions: public M&A (schemes of arrangement, takeover bids and Takeovers Panel proceedings), private M&A (acquisitions, divestments and auction processes), equity capital raisings, joint ventures, restructuring and insolvency, and private equity. He also advises on general corporate law, ASX listing rules compliance, directors' duties and employee incentive arrangements.

Hedley has led some of Australia's most significant public and private transactions. Recent mandates include the A$3 billion merger of Qoria Limited with US-based Aura Consolidated Group via scheme of arrangement, the A$1.1 billion acquisition of MMA Offshore by Cyan Renewables, and the A$209 million sale of Alloy Steel Australia to Nasdaq-listed Lincoln Electric Holdings.

Hedley brings over 20 years of top-tier experience in Australia and the UK, giving him direct cross-border transaction capability.

Hedley is also admitted to the Senior Courts of England and Wales.
