George T. Lee is a corporate and securities attorney with decades of experience advising small businesses, private equity funds, hedge funds, registered investment advisers, and family offices. He is known for providing practical, business-focused legal counsel informed by a deep understanding of the investment management industry.
George has served clients as both inside and outside general counsel, giving him a practical perspective on the legal, regulatory, and business issues that matter most to investment managers. He works with clients ranging from emerging fund managers to established financial institutions on matters involving ownership structures, fund formation, regulatory compliance, investment management agreements, prime brokerage relationships, and mergers and acquisitions.
George has significant experience with registrations and examinations involving the SEC, CFTC, and Texas Securities Board. He is also recognized for his knowledge of the family office exception to investment adviser regulation.
Before joining FBFK Law, George’s career included practice at an AMLAW 100 firm in New York, service as general counsel and chief compliance officer for a hedge fund manager, and the founding of a boutique law practice focused on investment management. He later launched and led Lee & Stone, a boutique law firm that merged with Gardere & Wynne, now Foley & Lardner.
George’s work has helped shape securities regulation at both the state and federal levels, including the Texas private fund managers’ exemption and the SEC family office exemption. He is also a frequent speaker and writer on investment management topics, including regulatory developments, private equity fundraising, securities law ethics, and issues involving the Investment Advisers Act.
George remains active in the legal community and has served in leadership roles with the Business Law Section of the State Bar of Texas, as well as other legal and charitable organizations.
