G. Blane Clark, Jr.

Blane Clark has more than four decades of experience negotiating, documenting, and closing complex business, commercial, industrial, healthcare, and oil and gas transactions. Based in Baton Rouge, Louisiana, he works with clients on corporate structuring and restructuring and advises on the legal considerations that arise in the day-to-day management and growth of a business. His practice includes Corporate Law and Mergers and Acquisitions Law, with a focus on helping organizations navigate transactions and operational challenges throughout the business life cycle. Blane represents privately held and family-owned businesses as well as publicly traded companies across a range of industries.

Within the healthcare sector, Blane drafts and negotiates a wide variety of industry-specific agreements, including professional services arrangements between hospital-based physician groups and hospitals. He advises healthcare organizations on employment and independent contractor agreements, shareholder agreements, LLC operating agreements, and partnership agreements among physician owners. His experience also includes negotiating purchase and sale agreements involving physician practices, including transactions with hospitals and private equity-backed portfolio companies, as well as assisting physician groups with reacquiring their practices. In addition, he has worked with physician groups on mergers and the development of physician-owned hospitals.

Blane also serves as outside counsel to energy companies, with a particular emphasis on midstream oil and gas matters in the Gulf of Mexico and onshore Louisiana. His work includes advising on connection, use and access, dedication, gathering, and gas processing agreements, as well as joint venture and organizational agreements and other complex commercial contracts. He has served as lead counsel on large-scale energy infrastructure projects, including matters involving pipelines, fractionation facilities, storage facilities, LPG terminals, and export facilities.
