Edward B. “Ted” Claxton is a business lawyer based in Montréal, Quebec with Aust Legal Inc. His practice focuses on complex corporate and transactional matters, including Derivatives Law, Mergers and Acquisitions Law, and Securities Law. He regularly advises companies, investors, and funds on cross-border transactions, joint ventures, venture capital investments, securities matters, and structured financial products.
Mr. Claxton previously practiced for more than three decades with major Canadian law firms, including 29 years as a partner in the business law group at Stikeman Elliott LLP and two years as a partner at Dentons Canada LLP. He also operated his own firm, Claxton Business Law, for two years. During this time, he acted as transactional counsel to Canadian and international companies and investment funds, frequently working on matters involving cross-border business activity and financing structures.
His work has included advising on corporate acquisitions and divestitures, joint venture arrangements, capital markets transactions, and derivatives-related matters. Mr. Claxton’s experience spans a wide range of industries and transaction structures, including projects involving multinational participants and investments into Canada.
Mr. Claxton has written and presented on a number of corporate and securities law topics. His publications include papers addressing trust-based securitizations and royalty trusts in Quebec, the U.S.–Canada multi-jurisdictional disclosure system, the expansion of powers of the Ontario Securities Commission, and guidance for common law lawyers working with the Quebec legal system. He also authored the chapter “Liability of Senior Executives Under Securities Legislation” in Executive Employment Law (Butterworth Canada, 1994).
In addition, he has prepared client memoranda and presentations on subjects such as Canadian take-over bids, reforms in Canadian bankruptcy legislation, legal considerations for U.S. investors doing business in Canada, directors’ liabilities, acquisition structures, and planning for joint ventures.
Mr. Claxton has been recognized by organizations including Lexpert, Best Lawyers, and Martindale for his work in corporate law, mergers and acquisitions, and derivatives-related matters.
