David Palumbo is a partner and Chair of the Corporate Transactions Practice Group in Baker McKenzie's Toronto office. David is a member of the Firm's North American Capital Markets Steering Committee and Global Inclusion, Diversity and Equity Committee. He serves as Chair of the Board of the You Can Play Project, a non-profit organization dedicated to ensuring the inclusion of all in sports. David has been named as one of Canada's Top 25 Most Influential Lawyers by Canadian Lawyer Magazine.
David has a corporate and capital markets practice (domestic and international) and represents securities dealers, institutional investors, and public and private issuers across a wide range of industries, including healthcare and life sciences, tech, gaming and natural resources/mining. He has extensive experience in public M&A and public and private capital raising, including IPOs, series rounds of financings, and other structures in debt and equity transactions. He advises foreign investors/acquirers on "going-private" transactions and assists other foreign companies to establish themselves and do business in Canada. David has extensive experience dealing with Canada's major stock exchanges as well as the provincial securities regulators and also regularly advises Canadian public companies on disclosure matters, corporate governance, and other corporate and securities law obligations. David regularly advises investment banks and dealers on securities regulatory compliance matters, including registration matters and the offering of securities in Canada by foreign companies.
