Carol is the National Leader of Borden Ladner Gervais LLP's Derivatives Group, Co-National Leader of the Firm's Cryptocurrencies and Blockchain Group and a member of the Investment Management Group.
Carol practices in the area of securities law, specializing in derivatives, investment funds and cryptocurrencies and blockchain. She works extensively for managers of investment funds, particularly in the area of new product development. Carol has an extensive derivatives practice, including negotiating documentation, advising on regulatory compliance matters and developing new derivatives-based investment products. She advises on a number of leading edge transactions. Carol also practices in the blockchain and digital asset space, advising clients that are developing products focused on cryptocurrencies and blockchain technology. She is a regular speaker at seminars and conferences on derivatives, investment funds and digital assets. Carol is the recipient of the Women’s Executive Network (WXN) 2017 Canada’s Most Powerful Women: Top 100 Award and is recognized as a leader in her field by Derivatives Week.
Carol’s relevant experience includes advising investment fund managers on a range of legal issues relating to the administration of retail and exempt investment funds in Canada. Has advised on a number of leading edge transactions and assisted in developing new products in the investment fund area, including:
The first RSP clone fund using derivatives to replicate the performance of an underlying foreign fund;
The first multi-class structure within a family of mutual funds;
The creation of tax-efficient returns in fixed income investment funds through the use of a derivative structure;
The creation of index and active ETFs, including ETF series of mutual funds;
Hedge funds and fund-of-fund hedge funds;
The use of derivatives generally by investment and liquid alt funds; and
The creation of bitcoin and other cryptocurrency investment funds.
