• advice in connection with the drafting and negotiation of contracts for the purchase and sale of companies (share deals/asset deals);
• advice in connection with the acquisition and sale of shareholdings, in particular the drafting and negotiation of investment and shareholder agreements (e.g. financing rounds in the venture capital sector);
• advising in connection with the drafting and negotiation of contracts for the purchase and sale of real estate and real estate companies;
• conducting legal due diligence reviews and preparing corresponding due diligence reports, also in preparation for an upcoming sales process for the seller (vendor due diligence reports);
• general corporate law advice (e.g. formation/dissolution of companies, implementation of new corporate law structures and reorganisations under the German Reorganisation Act (UmwG), etc.).
