Andrew Wilder is a partner at Torkin Manes LLP in Toronto, Ontario, with more than 25 years of experience advising domestic and international clients on Corporate Law matters, including corporate and commercial transactions, mergers and acquisitions, securities matters, financings and cross-border business operations. He regularly advises companies entering the Canadian market and clients involved in the acquisition and sale of Canadian businesses.
Andrew serves as head of the firm’s Corporate Finance Group and advises public and private companies on financings, corporate reorganizations, M&A transactions and commercial arrangements. He works with clients across a range of industries and provides practical guidance on structuring and completing significant business transactions, including matters involving regulated sectors.
A substantial part of Andrew’s practice involves Cannabis Law. He has advised clients on cannabis-related matters since before legalization in Canada and assists businesses with retail and federal licensing, regulatory compliance, securities matters, commercial agreements and cross-border transactions. He advises Canadian, U.S. and European clients on business structuring, capital raising and offering materials, while helping clients navigate evolving regulatory requirements involving licensing, product labelling, advertising restrictions, distribution and direct-to-consumer considerations.
In the healthcare sector, Andrew advises regulated health professionals and healthcare businesses on acquisitions, dispositions, reorganizations and financings. During his career, he has been involved in transactions involving enterprise values exceeding $1 billion.
