Andrew Humphrey is partner and chair emeritus of Faegre Baker Daniels and a member of the firm's corporate group. From 2012-17, Andrew served as chair and managing partner of Faegre Baker Daniels, overseeing the firm’s growth and westward expansion into California. From 2010-11, he chaired Faegre & Benson’s management board, helping lead the firm through its successful combination with Baker & Daniels to form Faegre Baker Daniels.
Andrew's practice focuses primarily in the areas of general corporate counseling, mergers and acquisitions, venture capital financing, and securities regulation. He has been recognized repeatedly as a leading lawyer in Chambers USA and The Best Lawyers in America.
Andrew provides general corporate counseling to a number of public and private companies. This practice includes providing or coordinating legal advice on the full range of legal issues that affect publicly held and venture-backed companies, including corporate organization and governance, ongoing business review and documentation, obligations of directors and officers, relations with shareholders, capitalization matters and securities issuances.
Andrew has represented buyers, sellers and investors in a variety of public and private transactions. Several of these transactions have included the issuance of securities and the consequent registration of these securities under federal and state law.
In addition to representing a number of venture capital firms in connection with venture capital financings, a primary focus of Andrew's venture capital work has been in "company-side" representation and strategic investments by corporations.
Andrew has worked extensively with public and private companies and underwriters in connection with offerings of securities. Andrew has played a leading role for Faegre Baker Daniels in numerous initial or secondary public offerings, as well as representing a number of corporations in private placements.
