Andrew D. Bulgin is a member of Gordon Feinblatt’s Securities Law, Business Law, and Financial Services practice groups. He represents businesses, entrepreneurs, investors, financial institutions, and real estate investment trusts (REITs) in a broad range of corporate, securities, governance, and regulatory matters.
Andy advises public and private companies on corporate law, securities law, corporate governance, director and officer fiduciary duties, stockholder rights, capital raising transactions, mergers and acquisitions, and ongoing reporting and compliance obligations. He regularly counsels boards of directors, management teams, and investors on strategic business matters and works closely with clients to navigate complex corporate transactions and governance issues. He also collaborates with litigation counsel on disputes involving corporate governance and related business matters.
A significant portion of Andy’s practice is devoted to representing federal- and state-chartered banks, credit unions, and other financial institutions doing business in Maryland. He advises clients on banking regulatory compliance, mergers and acquisitions, branch expansion, loan sales, bank holding company formation, charter conversions, trust powers, investments in subsidiaries and affiliates, and regulatory examinations and investigations conducted by federal and state banking authorities.
In addition, Andy has extensive experience representing Maryland REITs and investors in Maryland REITs, as well as companies across a wide range of industries. His clients have included health care, manufacturing, technology, education, insurance, financial services, payment processing, transportation, and consumer products businesses.
Many of Andy’s clients rely on him as outside general counsel for day-to-day legal and business matters. In that role, he provides practical guidance on contract negotiation, business operations, employment-related issues, executive separations, risk management, and the protection of business assets. His comprehensive approach allows clients to address legal challenges proactively while supporting their long-term business objectives.
