Amy is a corporate and real estate attorney with a focus on general business and transactions. Corporate client work involves the full scope of representation from formation to sale, including mergers and acquisitions, contracts, business counseling and corporate finance. Amy also represents real estate developers and businesses with real estate portfolios in acquisitions, sales, financings and leasing. A skilled negotiator and problem solver, Amy is motivated by helping clients achieve their goals, working through complex issues and mentoring the firm’s younger associates.

Amy joined the firm as an associate in 1998 and served nine years on the Executive Committee, including seven years as firm President. Before Davis Malm, she practiced in New Hampshire and worked as an assistant national bank examiner with the New York District Office of the Comptroller of the Currency. Her role as a comptroller gave her the skills and insight to analyze contracts, facilitate banking matters, lending transactions and financial documents, and negotiate the best deals for her clients.

Recent matters include:

  • Represented a privately held metal fabrication company in the $58 million sale of the company to a publicly traded manufacturer of engineered industrial products.
  • Represented a privately held education software company in the $35 million sale to a publicly traded provider of nonprofit software and services.
  • Represented a privately held provider of management software in the $22.5 million sale of the company to a global provider of real estate property management software.
  • Represented a NYSE-listed company in a $12.5 million acquisition of assets of dry-cleaning waste and wastewater treatment facilities located in Ohio and Illinois.
  • Represented a national retailer in the sale and leaseback of real property in the United States.
  • Represented a client in the formation of for-profit and nonprofit corporations and the subsequent licensing of intellectual property, and negotiation of services agreements with private, for-profit end-users, and municipal and state agency end-users.
  • Represented a family-owned business in the acquisition, sale, and leasing of its properties in Massachusetts and Pennsylvania.
  • Represented a privately held software company in the $22.5 million sale of the company.
  • Represent a privately held real estate investment company in the acquisition, financing, leasing, and management of properties in Cambridge, Boston, and Florida.
  • Represent a state-chartered bank in commercial loan transactions.
