Alyce’s significant cross-border capability gives her a global insight into transactions and an excellent grounding in all aspects of corporate law, but she has a particular interest in private M&A (including in-bound acquisitions), private and public equity capital raisings and corporate governance. She has acted for a number of ASX blue-chip and FTSE 250 listed companies, including in the infrastructure, new energy and agribusiness sectors.
Alyce has acted on some of Australia’s and the UK’s highest profile mid-market transactions, developing a particular strength in managing intricate legal and strategic issues.
Alyce’s recent experience includes advising:
- Engage Marine on its sale to PT Asian Bulk Logistics and associated debt facility refinancing;
- ROC Partners on the acquisition of Pace Farms (Australia’s second largest egg supplier), and subsequent acquisitions of Kinross Farms and Strathbogie Farm;
- UK based Kee Safety on its acquisition of RIS Safety;
- Kelsian Group (ASX:KLS) on their US$325 million (~A$487 million) acquisition of All Aboard America! Holdings Inc. (AAAHI) and the associated A$281 million capital raising;
- SILK Laser Clinics (ASX:SLA) on its proposed acquisition by Australian Pharmaceutical Industries (API) (a subsidiary of Wesfarmers (ASX:WES)) by way of scheme of arrangement for approximately $180 million;
- Kelsian Group (ASX:KLS) on its $698 million acquisition of Transit Systems Group together with a $154 million Capital Raise;
- ResourceCo on its acquisition of the Hampton Park C&D facility from their joint venture partner (Veolia) and the Wetherill Park facility from their join venture partner (Cleanaway);
- Stilmark Group on various capital raises, its bid for the Optus tower portfolio (as part of a consortium with OMERS Infrastructure) and subsequent sale to OMERS Infrastructure;
- Southern Launch on various capital raises and strategic land acquisitions; and
- ZEN Energy on its demerger from Sanjeev Gupta’s SIMEC Energy, and various subsequent transactions.
