Biography
Abby-Rose is an associate in the firm’s transactions practice.
Abby-Rose has experience in mergers & acquisitions and corporate and commercial transactions. She works across a variety of industries, including technology, agriculture, manufacturing, property, financial services and energy.
Her experience includes:
- advising on all aspects of a complex cross-border transaction involving the sale of a vertically integrated horticulture business that is one of the largest fresh produce suppliers in Australia to an international institutional investor. The transaction included the sale of one of the largest horticultural land holdings in Australia;
- assisting a major holiday parks owner and operator in relation to the acquisition of a private group specialising in tourism software and digital solutions in Australia and New Zealand;
- assisting an iconic South Australian manufacturer and retailer with acquisitions and divestments in South Australia, Queensland, Western Australia, Northern Territory, New Zealand and the United States;
- drafting commercial contracts such as services, supply and consultancy agreements;
- assisting an international sponsor group obtain project finance in respect of early-stage renewable energy projects in Queensland;
- assisting a South Australian community housing and aged care provider obtain property development finance, including dealing with complex intercreditor and security arrangements;
- managing substantial trade mark portfolios, including conducting clearance searches on proposed trade marks, applying for trade marks with IP Australia and drafting submissions to IP Australia in relation to refusal or revocation of trade mark applications or registered trade marks;
- various share, asset, business and property sales and debt finance transactions (including drafting, reviewing and negotiating transaction documents and managing and attending to completion of those transactions); and
- undertaking legal due diligence investigations.
