Practice Area Overview

Construction law organizes all legal aspects relating to all type of buildings during the course of the construction process. Assistance may be provided not only to project owners, but also to all contractors, subcontractors, architects, engineers, developers, banks and insurance companies. 

Construction law may include advice on the following aspects of a global operation of construction: 

(i) identification of required rights on a plot of land, identification of the required planning authorizations and planning constraints, including potential additional administrative authorizations, and organization of the structuring on said plot of land (asset purchase or acquisition of the shares of the company holding the plot of land, negotiation of a lease agreement, either by a commercial lease, a long-term lease or a construction lease, conclusion of a finance lease etc..); 

(ii) funding of the operation and negotiation of the financial guarantees required by banks; 

(iii) identification of the contractual scheme (direct construction contract, development agreement, design and build contract) and of the contractors to be hired (in particular developer, contractor, architect, engineer, chartered surveyor, project manager, assistant to the project owner) ; 

(iv) assistance in the preparation and the review of building permit applications and additional related authorizations; 

(v) drafting of the relevant design, development and construction contracts; 

(vi) assistance during the course of the construction process, either judicial by the prior organization of summary proceedings (in order to organize a inventory of fixtures, both of the existing plot of land and its neighborhood) or the drafting of writs before court, or non judicial by the review of contractual documents in order to prepare potential financial claims against or for the contractor and 

(vii) assistance during completion and after the acceptance of the works, both during the perfection completion warranty and the ten-year liability.

Construction law is regulated by the French civil Code regarding the conclusion of construction contracts and potential liability of contractors. However, several provision of the Planning code (regarding construction authorizations such as building permits), of the Insurance code (regarding mandatory construction insurance policy) and of the Construction and Dwelling Code (regarding specific liabilities regarding contracts such as the development contract or the purchase of asset in their future state of completion) may apply to a construction process. 

The provisions of the French civil Code normally only apply to private entities regarding construction contracts even though the French administrative Supreme Court also applies the general principles resulting from such French civil Code. However, the rules applicable in terms of planning authorizations and of insurance policies are identical to both private and public entities.

Le droit de la Construction organise tous les aspects légaux liés à tout type de bâtiments (construction) pendant toute la durée de construction. Une assistance peut être apportée non seulement aux maîtres d’ouvrage mais également à tous les entrepreneurs (contractants), sous-traitants, architectes, ingénieurs, promoteurs, banques et aux compagnies d’assurances. Le droit de la construction implique notamment les aspects suivants d’une opération globale de construction :

(i) identification des droits à construire sur une parcelle de terrain, identification des autorisations d’urbanisme et de leurs contraintes, incluant les autorisations administratives complémentaires, et organisation de la structuration sur ladite parcelle de terrain (achat d’actifs ou acquisition de parts de la société propriétaire de la parcelle, négociation d’un bail (bail commercial, bail emphytéotique ou un bail à construction), élaboration et conclusion d’un crédit-bail etc…) ;

(ii) financement de l'opération et négociation des garanties financières demandées par les banques ;

(iii) identification du schéma contractuel (marché de travaux, contrat de promotion immobilière, contrat de conception et réalisation) et des locateurs d’ouvrage (entrepreneurs/intervenants) devant participer à la construction (en particulier le promoteur, entrepreneur, architecte, ingénieur, bureau d’études, maître d’ouvrage délégué et assistant à maître d’ouvrage) ;

(iv) assistance dans la préparation et la revue du dossier de demande de permis de construire et des autorisations complémentaires y afférentes ;

(v) rédaction des contrats de conception et des contrats de construction ;

(vi) assistance pendant le chantier, par la mise en place en amont d’un référé préventif (afin d’organiser un état des lieux du terrain d’assiette et de son voisinage) ou par la revue de documents contractuels en vue de préparer une éventuelle réclamation financière à l’encontre ou pour le contractant, et,

(vii) assistance pendant et après la réception des travaux, aussi bien pendant la garantie de parfait achèvement des travaux que pendant la durée de la responsabilité décennale.

Le droit de la construction est essentiellement régi par le Code civil français concernant la conclusion des contrats de construction et l’organisation de la responsabilité des locateurs d’ouvrage. Cependant, plusieurs dispositions du Code de l’Urbanisme (concernant les autorisations de construire), du Code des Assurances (concernant des polices d’assurance construction obligatoires) et du Code de la Construction (concernant les responsabilités spécifiques telles que celles du contrat de promotion ou de la vente en l’état futur d’achèvement) organisent également le processus de construction.

Les dispositions du Code civil français ne s’appliquent normalement qu’aux entités privées bien que le Conseil d’État applique également les principes généraux résultant du Code civil français. Cependant, les règles applicables en termes d’autorisations d’urbanisme et de polices d’assurances sont identiques aux entités publiques et privées.
