Competition law aims at protecting the process of competition on the market by enabling a fair allocation of resources to the benefit of consumers. Competition law thus prohibits two or more independent companies, whether competitors or in a supplier-distributor relationship, from entering into agreements, decisions, or concerted practices which object or effect is anticompetitive. 

Competition law also prohibits the abuse of dominance, which concerns the unilateral conduct of one or several companies holding a dominant position and engaging in a refusal to sell, tying, discriminatory terms of sale, or other practices harmful to competition. 

French competition law also prohibits, under certain conditions, the abusive exploitation by one or several dominant firm(s) of the state of economic dependence of clients or suppliers. A widening of the scope of application of this prohibition is currently under review.

Beside behaviors, competition law also tackles structures through merger control. A merger or concentration is deemed to arise where two previously independent undertakings merge, where one or more undertaking(s) acquire(s) control of one or more other undertaking(s), or where two or more undertakings create a joint venture performing on a lasting basis all the functions of an autonomous economic entity.

French merger control rules impose a mandatory pre-merger notification based on meeting turnover thresholds. Where the parties to a concentration meet these thresholds and the transaction does not come within the jurisdiction of the European Commission, they must notify the transaction to the French Competition Authority, which assess its compatibility with competition. There is under French law a set of general thresholds and specific, lower sets of thresholds applicable either to French overseas territories or to retailing activities.

Competition lawyers advise companies wishing to assess that their agreements and arrangements with suppliers, distributors, and competitors are lawful, or to create compliance programmes. They also assist their clients in competition investigations, leniency applications, and settlement procedures, and in case of litigation or damages actions. Lastly, competition lawyers assist their clients in obtaining merger clearances – which may be complemented by commitments- from relevant competition authorities.

Les règles du contrôle des concentrations français supposent une notification préalable obligatoire, qui repose sur le franchissement de seuils en chiffres d’affaires. Dès lors que les parties à une opération de concentration franchissent ces seuils et que l’opération ne relève pas de la compétence de la Commission européenne, une notification doit être faite à l’autorité de la concurrence, qui se prononce sur la compatibilité de l’opération avec la concurrence. Il existe une série de seuils applicables en général et des seuils spécifiques, plus bas, applicables soit aux départements et territoires d’outre-mer français, soit au commerce de détail.  

Les avocats spécialisés en droit de la concurrence conseillent les entreprises qui désirent s'assurer de la licéité de leurs contrats et partenariats avec leurs fournisseurs, distributeurs ou concurrents ou créer des programmes de compliance. Ils assistent également ses clients en cas d'enquêtes des autorités de concurrence, dans le cadre de procédures de clémence et de transaction, et en cas de contentieux ou d’actions en dommages et intérêts devant les juridictions.
