Wendy devotes her time to assisting companies as they develop and commercialize their intellectual property assets through the negotiation and drafting of software development and licensing agreements, service agreements and the protection of those assets with confidentiality and non-disclosure agreements. Wendy’s work in this area compliments her corporate practice which focuses on helping companies with their business transaction projects including mergers, stock transactions and asset sales or purchases, as well as the peripheral tasks associated with such transactions including lease renegotiations, vendor transition issues and due diligence activities. Wendy’s clients also call upon her to assist with a broad range of contract negotiation & drafting projects as well as to provide guidance on entity formation, organization & governance issues.
In addition to law firm experience, Wendy gained significant insight into the interaction of law and business “in the real world” during her eight years in-house with SkyTel Corp., a wireless communications company then wholly owned by Verizon. As General Counsel for SkyTel, Wendy managed a team of lawyers responsible for the legal matters pertaining to the nationwide SkyTel business as well as its interaction with its publicly traded parent company. While many of the tasks performed at SkyTel mirrored the work performed previously in the law firm setting, being a part of the management team provided Wendy with a heightened appreciation for and understanding of the constraints businesses face when working with outside counsel.

IP Licensing Counsel — Client is a spin-off from an agricultural retailer in the Mid-South that focuses on precision agriculture data analysis, forecasting, and performance comparisons for growers, retailers, and ag developers. The firm has been engaged to develop licensing agreements for the client’s customers to grant access to the client’s database and custom reports and ensure appropriate consents on data access while maintaining data privacy
