Multistate Institutional Nonprofit Refinance
Worked on a team in 2014 to refinance a large multistate institutional nonprofit that had filed bankruptcy, restructuring $40+ mil. in bonds and raising $18 mil. from a NY private equity fund, thereby preserving the operations and licensure of a leading residential service provider for troubled teenagers.
Multi-Family Housing Complex Financing
Was part of a team in 2014 handling $48 mil. of additional financing for a 20 building 10 story multifamily housing complex in mid-town Manhattan. Peter specifically authored the lengthy reasoned opinion that concluded to FNMA's satisfaction that the financing was exempt from NY's mortgage recording tax (3 1/2% in Manhattan). He worked on the original $153 mil. transaction in 2011.
Securities Law Matters
Regularly represents clients with securities law matters, recently for example: (i) a specialty chemical concern which had to give its customers "conflict minerals" (as required under the Dodd-Frank Act and SEC regs) certifications; (ii) a foreign-owned professional services firm whose stock grant executive compensation program had to be checked for Federal and "Blue Sky" compliance, with corrective steps required in two jurisdictions; and (iii) a nationally operated for profit sports organization which required buy-ins and dues to operate each team needed multi jurisdiction revisions in order to preserve its operation.
