Gary Cullen is the co-leader of Skadden’s corporate practice in the Chicago office. He concentrates in mergers and acquisitions, corporate finance and other board-level strategic matters, representing Fortune 500, middle-market and emerging companies in a wide range of industries, as well as investment banks and other financial institutions in a variety of transactions.
In the mergers and acquisitions area, Mr. Cullen has worked on behalf of buyers and sellers in auctions involving public companies and their business units; other stock and asset acquisitions and dispositions, including in Chapter 11 proceedings; negotiated and contested takeovers; proxy contests; joint ventures; and private equity acquisitions of businesses, including greenfield projects. In the corporate finance area, Mr. Cullen represents issuers and investment banking institutions in initial public offerings, high-yield debt transactions, and other public and private issuances of securities.
Mr. Cullen also advises clients, including special committees and executives, in a variety of other strategic matters, including those relating to corporate governance and disclosure issues, shareholder rights plans, stockholders’ agreements, executive compensation arrangements, and other securities and corporate control issues, as well as litigation strategy matters. In addition, Mr. Cullen has represented successful bidders in the auction of nationwide telecommunications licenses and in the privatization of telecommunications infrastructures.
