BAA works with developers in acquiring and financing multifamily rental properties (including representing borrowers in HUD, state housing agency, Fannie Mae and Freddie Mac loan closings), and negotiating LP agreements and LLC operating agreements with non-profit organizations and syndicators. Recently, BAA assisted a housing non-profit in the purchase of a 500+ unit multifamily housing rental project in Columbus, OH, the mark-to-market restructuring of its existing HUD loan, closing of a new HUD-insured loan to fund project rehabilitation, and sale of related LIHTC credits. It is currently assisting the client in the acquisition and financing of additional affordable housing communities in Port Huron, MI and Elkhart, IN.
We represent landlords in negotiating retail leases with national retailers (including Home Depot, Whole Foods, Petco, Michaels, Walgreens and Starbucks), as well as office and manufacturing leases.
We help investors acquire NN and NNN leased retail stores all over the United States.We assist clients develop retail buildings and shopping centers from single-tenant, free standing buildings to multi-tenant shopping center across the Midwest.
Corporate Real Estate:
BAA assists manufacturing and service corporations in acquiring and leasing real estate to support their business operations, such as office space and warehouse/manufacturing buildings. Due to our long standing representation of the commercial real estate community, we are able to help bridge the gap between the needs and concerns of corporate users and property developer/landlords.
Our services include land acquisition, zoning and site plan approval, preparation of easement agreements, applications for tax credits and incentives, and construction contracts. We assist in negotiating development agreements with governmental entities. We represent clients in developing shopping centers, mixed use buildings and special use structures in both urban and suburban settings.
BAA attorneys help clients purchase and redevelop properties, including assisting with applications for and sale of brownfield, historic and LIHTC credits. Successful projects include conversion of a former pharmaceutical plant into loft apartments, conversion of a former high rise department store into affordable senior housing, and redevelopment of a former racetrack into retail, office and warehouse space.
We prepare condominium master deeds and related documentation for residential and mixed use condominiums. For example, we represented the developer of the 250 Martin multistory mixed use condominium project inits successful development of that retail and upscale residential project in downtown Birmingham, MI.
We work with healthcare clients in developing professional office buildings and ambulatory facilities, and in establishing joint venture arrangements between health care institutions, developers and/or physician groups.
BAA services the owners and operators of banquet facilities and restaurants. It recently represented the purchaser in consummating the acquisition of "220", a popular restaurant located in Birmingham, MI.
Real Estate LPs and LLCs:
BAA attorneys works with clients to organize and structure real estate LLCs and limited partnerships, negotiate transactions with investors, and prepare limited partnership agreements and operating agreements.
Construction Disputes;We assist owners, landlords and tenants in resolving and/or litigating construction related disputes.
Bankruptcy and Receivership: We assist landlords in dealing with the complex issues arising from tenant bankruptcies, including potential lease amendments, lease assignments and auctions, and the collection of unpaid rent and costs from the bankrupt estate. We also assist tenants in navigating the complex issues relating to landlord's mortgage loan defaults, including receivership, foreclosure and bankruptcy.
Local Counsel Services:
Due to BAA's broad and longstanding real estate experience, it is frequently asked to assist law firms outside Michigan as their local real estate counsel for Michigan projects.
