A focus of his practice is private equity transactions. He regularly represents several of Canada’s prominent institutional investors in their investments into both domestic and international private funds and in co-investments with fund sponsors, consortium investments and direct acquisitions. Additionally, he has significant experience with private fund formation on behalf of fund sponsors and is familiar with all aspects of structuring, negotiating and completing funds, the offering and sale of fund securities, securities registration requirements and with standards for investment policies, fees, returns and governance in this emerging asset class. He has deep experience acting for both buyers and sellers in connection with mergers and acquisitions of private and public companies and in negotiating shareholders’ agreements and other governance arrangements among business owners.
