Joel Rose is a senior member of Aird & Berlis LLP's Corporate/Commercial Group, Mergers & Acquisitions Team and Private Equity Team.
Joel has a transaction-oriented practice in the areas of corporate commercial and regulatory law. His regulatory expertise includes advising clients in government-regulated sectors of the economy, such as transportation, gaming and energy. Joel's transaction practice focuses on private debt and equity financings, mergers, acquisitions, take-over bids and venture capital transactions. He has served as lead counsel in numerous leveraged buyouts and going private transactions, as well as private equity, mezzanine, and senior debt financings involving borrowers, lenders, private equity funds, banks, syndicates and other institutional lenders. Joel advises private equity funds and corporations in connection with buying, selling and restructuring entities ranging from privately-held businesses to national and multinational organizations. He is also frequently involved in advising U.S. or foreign clients on the acquisition and disposition of Canadian subsidiaries.
Since the advent of Gaming in Ontario in the early 1990s, Joel has been very active in providing representation to the Gaming-related Crown Corporations, commercial casino operators, internet companies, equipment suppliers and operators of race tracks. His experience includes negotiations with the provincial government for new gaming opportunities, providing representation to the Ontario Lottery Corporation, appearing as counsel before the Alcohol and Gaming Commission of Ontario, including the negotiation of registration terms, and advising various new business ventures on compliant operations.
He has participated as lecturer, panellist and educator in programs involving Transportation and Gaming law for educational institutions and professional and trade associations.
