My practice is focused on helping clients to structure and document their business transactions so that they receive the intended benefits of their deal.
Mergers and Acquisitions
I advise companies on both buy-side and sell-side M&A transactions. My clients are in a wide variety of industries, from a leading wine, beer and spirits company, to a well-known consumer goods manufacturer to a computer software design company.
I work with venture funds and angel investors as well as companies trying to attract investment (including startups). I assist them with structuring, diligencing, negotiating and documenting their transactions.
General Business Advice and Commercial Transactions
For many clients I act as outside general counsel, working with executives on various legal issues as they impact their business, ranging from employment issues to regulatory matters to tax and business strategy. In that role I often act as “quarterback” to direct, organize and deliver the extensive experience that Nixon Peabody has to offer. In addition, I counsel clients on a wide variety of commercial transactions including joint venture agreements, license agreements, procurement and supply agreements, employment and consulting agreements, research and development agreements, outsourcing agreements, manufacturing and design agreements, distribution and re-seller agreements, service agreements, OEM contracts, confidentiality agreements, letters of intent and financing and loan agreements.
