Jeff Rambach is an experienced tax attorney and a partner in our Tax Credit Finance & Syndication Practice Group. He concentrates his practice in tax and business transactions with a focus on the development of real estate with the low-income housing tax credit (LIHTC), the historic rehabilitation tax credit (HTC), the renewable energy tax credit (RETC)and other federal and state income tax incentives. Jeff also has significant experience in a broad range of tax matters, including the taxation and operation of tax-exempt entities as well as advising clients on wealth transfer planning and traditional estate planning.

What do you focus on?

Today I focus my practice on three main areas:

Tax Credit Finance

I regularly represent institutional investors in projects qualifying for the LIHTC and/or the HTC and in dispositions of interests in LIHTC properties. I have also represented developers in projects qualifying for HTC and the RETC.

Tax Experience

My tax practice primarily encompasses transactional work for corporations, partnerships and limited liability companies, with an emphasis on partnership tax issues, charitable foundations, tax-exempt organizations and state and local tax issues. I also have significant experience representing clients in civil tax controversies before the Internal Revenue Service and state taxing authorities.

Wealth Transfer Planning

My trusts and estates practice includes personal wealth transfer planning; business succession planning; estate and trust administration; estate, gift and generation-skipping tax planning; fiduciary income tax issues; estate and gift tax dispute resolution; charitable planning; and marital planning including legal and financial planning and the preparation and negotiation of prenuptial and postnuptial agreements. I also represent clients going through Internal Revenue Service audits in connection with family CPAs and financial advisors.

Thought Leadership

Prior to entering private practice, I clerked for Judge D. Irvin Couvillion at the United States Tax Court.

Over the years, I have been a frequent speaker at Continuing Legal Education Conferences and other conferences regarding federal and state income tax matters, tax-exempt organizations and wealth transfer planning.
