Tim Martin counsels Frost Brown Todd’s developer, banking and healthcare clients in connection with the acquisition, zoning, development, financing, leasing and sale of commercial developments such as hospitals, shopping centers, office, warehouse, apartment and multi-family projects.  He has been responsible for many of the major real estate transactions handled by the firm. As lead attorney, he has supervised other attorneys and paralegals in handling complicated legal issues involving the transfer, financing, acquisition, zoning and other governmental regulatory matters of major projects as well as negotiations involving purchase and sale agreements, leases, lease enforcement and defaults, and other landlord/tenant issues. He also has extensive experience in representing lenders involved both as “lender” and as "investor" in real estate developments. His background as “developer” counsel makes him particularly well suited in representing lenders in negotiating and documenting effective restructuring and workout agreements for distressed real estate.  He is a member of the American College of Real Estate Lawyers and the International Council of Shopping Centers, as well as the American, Kentucky and Louisville Bar Associations. He was named a Star Individual for Real Estate: Kentucky by Chambers USA® America's Leading Lawyers for Business 2008-2011, a ranking given to lawyers with exceptional recommendations in their field. Represented Kindred Healthcare, Inc. in connection with the $38,000,000 acquisition of three long term acute care hospitals located in Dallas-Ft. Worth, Texas; including negotiation of the Asset Purchase Agreement, transfer documents, due diligence review and title insurance.  <o:p></o:p>

Represented Thorntons Inc. in connection with a $60,000,000 sale-leaseback transaction involving 23 sites located in four states (Kentucky, Ohio, Indiana and Illinois), including negotiation of the letter of intent, Sale-Leaseback Agreement, Deeds and other transfer documents, Lease, due diligence review, title insurance and closing.  <o:p></o:p>

Represented International Dairy Queens, Inc. in connection with the sale of 57 restaurants located in Kentucky and Indiana, including the preparation and review of contracts, closing documents, escrow agreements, closing statements and lease terminations.  <o:p></o:p>
