Sheldon Adler has been primarily responsible for the development of Skadden’s utility mergers and acquisitions practice, a subgroup of the corporate practice that handles utility acquisitions. Mr. Adler also represents a wide variety of clients in merger and other acquisition transactions.
Mr. Adler has been involved in many public utility merger transactions, including representing TECO Energy, Inc. in its pending acquisition of New Mexico Gas Company; Northeast Utilities in its merger of equals with NSTAR to create one of the nation’s largest electric utilities; National Grid USA in its sale of Granite State Electric Company and EnergyNorth Natural Gas Inc. to Liberty Energy Utilities Co. (Canada);National Grid PLC in its acquisition of KeySpan Corporation; and Duke Energy Corporation in its merger with Cinergy Corp.
In addition, Mr. Adler has been involved in generation assets divestiture transactions. For example, he represented CMS Energy Corporation in the sale of CMS Generation Company and ownership interests in Jorf Lasfar Energy Company (Morocco), Jubail Energy Company (Saudi Arabia), Takoradi International Company (Ghana) and ST CMS Company (India) to Abu Dhabi National Energy Company PJSC;TECO Energy, Inc. in the sale of its subsidiary, TECO Transport Corporation, to Greenstreet Equity Partners, L.P., a private equity firm; National Grid USA in its divestiture of Ravenswood Generating Station to TransCanada Corporation; andNew England Electric System and its subsidiaries in the sale of substantially all of the generation assets held by the subsidiaries to US Gen Acquisition Corporation.
