With expertise built on over 20 years of
advising senior management and boards of public and private companies, Marion
practices business law with a focus on mergers and acquisitions and corporate
Marion’s M&A practice encompasses
take-over bids, take-over defence strategies, acquisitions and divestitures,
related-party and going-private transactions, and proxy contests for control.
In addition to representing issuers, underwriters and significant shareholders
in those matters, she frequently acts as independent counsel to boards of
directors and special committees. She also represents issuers and underwriters
in a wide range of public and private equity and debt financings.
Marion also counsels clients engaged
primarily in the mining, forest products and technology industries on an
ongoing basis on strategic issues, including acquisitions, divestitures and
commercial contracts, and on a wide range of regulatory compliance matters
including corporate governance, executive compensation, stock exchange
requirements and annual and timely disclosure.
