Leanne is the Corporate Commercial Working Group Leader for the Edmonton office and is the team lead for the Edmonton Mining Group. 

Leanne routinely advises coal and potash producers in Canada on commercial and other mining legal matters. She is also involved in the negotiation and drafting of multi-million dollar long term coal supply agreements and security of supply agreements with domestic electricity producers in the Provinces of Alberta and Saskatchewan. Leanne has been involved in significant due diligence and assignments and transfers in respect of coal mining and potash interests in Alberta and Saskatchewan, including mineral surface leases, coal leases and freehold coal titles. Leanne also has experience with export coal contracts and letters of credit, terminal services and transportation agreements, and drafting and negotiating procurement contracts relating to mining equipment. She also provides advice to her mining clients regarding royalties, price reviews, and dedication and unitization agreements.

Mergers and Acquisitions (M&A) and Securities

Leanne’s M&A practice involves providing advice to clients on mergers, acquisitions and sale transactions, including plans of arrangement, reverse takeovers, reorganizations, and amalgamations. She also assists both public and private issuers, including municipalities, in raising capital through private placements, public offerings, venture capital financings and commercial paper offerings. She also interacts with the stock exchanges and other securities regulatory authorities in Canada in connection with various applications on behalf of reporting issuers and exempt market dealers.


Leanne’s expertise relates to the drafting and negotiation of construction contracts and procurement contracts primarily in the oil sands, mining and general construction industries. She has reviewed and commented on numerous multi-million dollar unit price and lump sum subcontracts relating to various oil sands projects. Leanne has provided advice on obligations of contractor/subcontractor in relation to oil sands and industrial projects, including demobilization. She has also drafted construction contracts and supplementary conditions relating to demolitions and renovations to buildings located in Edmonton’s downtown core. She has also worked on a tender project for a convenience and gas bar located on reserve land in the Northwest Territories.


Leanne is routinely involved in the negotiation and drafting of commercial agreements relating to the establishment of joint ventures and other strategic partnerships, unanimous shareholder agreements, construction contracts, including subcontracts, procurement contracts, and long term supply, offtake, and purchase agreements. Leanne represents clients in the mining, construction, engineering, oilfield service, and technology industries.
