Larry Zanger is a Partner in the Business Law Section and
focuses his practice on corporate and computer law matters. Mr. Zanger has
substantial experience in the representation of a variety of businesses in the
computer industry and those involved with the Internet and electronic commerce.
Representative activities include merger and acquisition activity in the
information technology industry, acting as outside general counsel for computer
software developers, computer consultants, systems integrators and software and
hardware distributors and dealers, with matters also involving international
distribution and the ownership of foreign subsidiaries.
In addition, Mr. Zanger's experience includes all forms of electronic
commerce, software licensing, trade secret protection activities,
commercialization of technology, mergers and acquisitions of software companies,
sales and acquisition of individual programs, software financing, negotiation of
outsourcing agreements, negotiation of software restructuring agreements and the
sale of software development and software consulting companies.
Mr. Zanger’s practice also focuses on healthcare related software. Mr.
Zanger's representative clients include: a computer-based prescription benefit
management company that has grown from a small local company to a publicly
traded national company, involving software licensing, government contracting,
SaaS model, M&A and software acquisition; a venture-funded software company
that created and operates both a turn-key and SaaS version of a dental claims
management program that processes claims for large health plans; a closely-held
software developer that has created and markets a family of programs for
scheduling and processing claims for both home healthcare and care dispenses at
nursing and senior care centers; and a closely-held software company that
created and markets scheduling optimization software for hospital nursing
staffs. He has also been involved in software and technology transfers and
negotiating contracts with various software providers for hospitals.
Mr. Zanger was an adjunct professor of business law and accounting at the
University of Illinois-Chicago, College of Business for five years and has been
a member of the adjunct faculty of Benedictine University's Masters in
Management Information Systems program.
