K.C. is the Managing Partner of the firm. He assists businesses of all types and sizes in corporate governance, capital raising and acquisition matters.
K.C. has advised publicly-held companies, family business and non-profit entities on matters of corporate governance and the efficient structuring of their operations. He has represented numerous businesses in raising venture capital and bank and other debt, including the representation of various parties in municipal and corporate bond transactions.
During his career, K.C. has acted as securities counsel to a number of Maine publicly-held corporations, for whom he was involved in preparing periodic reports, registration statements, and proxy statements in accordance with SEC rules. As part of his securities practice, K.C. has also designed employee stock purchase, option, and incentive plans, has prepared related SEC filings, and has advised corporate executives and shareholders on their obligations under federal securities laws.
As a member of Verrill Dana’s Business Law Department, K.C. has also frequently been engaged in complex mergers and acquisitions involving public and other companies and is listed in The Best Lawyers in America© under Corporate, M&A and Securities. He has also been involved in tender offers, proxy contests, shareholder disputes and other matters involving control of corporations.
K.C. is a former Chair of the Business Law Section of the Maine State Bar Association and was actively involved in revisions to Maine's current Corporate and Securities statutes. He is also a previous chair of the International Practice Section of the Maine State Bar Association and has spoken frequently on issues involved in cross-border trade and investment in Maine and Canada.
K.C. is a graduate of Yale University (cum laude, with honors in Economics) and the Georgetown University Law Center, magna cum laude, where he was an editor of the journal Law and Policy in International Business. K.C. previously served on the Board of Directors of the United Way of Greater Portland, including as chair of that Board, and currently serves as a director of Maine & Company, the New England Legal Foundation and of the Mitchell Institute. Before becoming a Partner at Verrill Dana, K.C. was a shareholder at Drummond Woodsum & MacMahon in Portland.
K.C. is an avid cyclist and frequent photographer of sporting events involving his children.
