Jeff's practice focuses primarily on public and private securities offerings, mergers and acquisitions, leveraged buy-outs, private equity and real estate fund formation, and corporate restructurings and workouts. He also counsels clients on legal issues affecting public companies and their compliance with the Sarbanes-Oxley and Dodd-Frank Acts and other corporate governance regulations.
Jeff represents several distinguished companies, including corporate, private equity and lending clients. His clients include Prospect Global Resources Inc. (Nasdaq: PGRX) which is developing the largest potash mine in the United States, KRG Capital, a private equity firm with $1.5 billion under management and Griffis Residential, a Denver-based real estate investment and management firm.
Jeff began his career in New York at the law firms of Sullivan & Cromwell and Skadden Arps Slate Meagher & Flom.
Represented BCOM Investment Partners, LLC in its equity private placement and secured note financing.
Represented a regional real estate development firm in formation of a $100 million real estate investment fund.
Represented Lube Distributions Holdings Inc., a portfolio company of KRG Capital Partners in the sale of Petro-Choice, the largest distributor of consumable commercial, industrial and passenger vehicle lubricants in the Mid-Atlantic and Upper Midwest regions of the U.S., to Greenbriar Equity Group.
Represented Recovery Energy, Inc. in its purchase of 19 working wells in Colorado, Nebraska, Wyoming, Kansas, Oklahoma and Texas. Also represented Recovery Energy, Inc in a $23 million equity private placement.
Serve as outside general counsel to well-funded start up telecommunications company offering broadband Internet service via satellite to rural communities.
