Glen Lekach is a Partner in the Regina office of Miller Thomson where he practices in the areas of mergers and acquisitions, business, commercial, agricultural, corporate, corporate finance, securities and real estate law. His experience includes many significant business transactions in Saskatchewan. As counsel to a diverse group of business enterprises, Glen provides a wide range of services within the areas of his expertise. Glen has also lectured to articling students and lawyers in Saskatchewan on buying and selling a business, securities law, commercial real estate transactions and shareholder disputes and has prepared checklists for the Law Society of Saskatchewan for use by Saskatchewan lawyers when incorporating corporations and preparing shareholder agreements.
He has a BV rating from Martindale-Hubbell, an international rating agency of lawyers. Glen was also recently named to the 2014 edition of Best Lawyers in Canada for Mergers and Acquisitions.
Securities Law: Glen has been involved in the negotiation and preparation of prospectuses and offering memorandums and ancillary documents used to raise capital for companies or other legal entities, in advising on continuous reporting obligations for reporting issuers, and in providing eligibility opinions for the sale of securities for both prospectus offerings and private placement transactions.
Business Structures: Glen has been involved in developing structures for business enterprises (including tax driven structures) using proprietorships, partnerships, limited partnerships, joint ventures, and corporations (both domestic and foreign), including negotiation and preparation of joint venture agreements, limited partnership agreements, partnership agreements and shareholder and owner agreements.
Mergers and Acquisitions: Glen has been involved extensively in merger and acquisition transactions, including purchase and sale of assets, the purchase and sale of shares, amalgamations, joint ventures, limited partnerships and other legal combinations, including negotiation and preparation of share purchase agreements, asset purchase agreements, joint venture agreements, limited partnership agreements and ancillary agreements related thereto, including unanimous shareholders agreements, owner agreements, confidentiality agreements, non-competition agreements, indemnity agreements and supply agreements.
Commercial Contracts: Glen has been involved in the negotiation and preparation of licensing agreements, distribution agreements, production agreements, dealer agreements, supply and service agreements, franchise agreements, employment agreements, consulting agreements, independent contractor agreements, confidentiality and non-disclosure agreements, non-competition agreements and all manners of other commercial contracts.
Real Estate: Glen has been involved in commercial real estate transactions, including negotiation and preparation of offers to purchase and agreement of purchase and sale, lease agreements, rental agreements and facility license agreements, subdivisions, planning approvals and environmental investigations.
Secured Transactions: Glen has been involved in corporate finance transactions, including negotiation and preparation of loan agreements, trust indentures, mortgages, debentures and all manner of security agreements.
