Mr. Bonello is of Counsel to Wilentz, Goldman & Spitzer P.A. and practices in the areas of healthcare, corporate, commercial and business law. He is a strategist with vast experience in general corporate matters, having served on several outside corporate boards and acting as counsel to them.
A major area of practice in which Mr. Bonello engages is the healthcare field. Specifically he handles several professional service corporations and limited liability companies -- entities formed by physicians, dentists, architects and others. He advises them on the type of entity that best meets their business objectives and helps them with the contracts and agreements to establish and then operate the entity.
Besides keeping these business entities current with respect to regulatory changes or developments, he concentrates on employment agreements, stock purchase and buy-sell agreements. The personal tax, retirement and estate plans of professionals must be carefully integrated in the overall business structure. With the constant changing of healthcare legislation, many of the firm's clients are reorganizing their business relationships. Sales and mergers of medically related practices as well as new relationships with hospitals and other providers is a major commitment by him and other members of the firm.
Mr. Bonello has also represented several real estate developers from the land acquisition stage through regulatory compliance to the actual sale of the units. He works with the client from the planning stage through actual liquidation. Normally there are several corporate structures involved, which are serviced and designed to fit the client’s cash flow, tax planning and estate planning needs.Mr. Bonello also represents general business entities including corporations, LLCs and LLPs in various transactions which range from the structure of the business to shareholder and employment agreements. He also deals with leases, the sale and purchase of businesses as well as reorganizations. He frequently advises family-owned businesses on business succession issues.Another major aspect of his practice is estate administration.
He serves both as a fiduciary and as counsel to estates which generally involve the administration and operation of medium to large size family businesses. This involvement generally concentrates on funding needs, employee benefits and relations, and requires substantial contract drafting and negotiations. Financial planning is a major part of this aspect of the practice and involves the integration of work with tax planners, accountants and other benefit specialists. Mr. Bonello, in his role, generally coordinates all of the services required in the administration of estates.
