With over 30 years of federal income tax experience, Mr. Maxfield provides strategic and effective counsel to his clients, which range from small start-ups to Fortune 100 companies. He advises clients in the tax aspects of structuring the formation, acquisition, disposition, spin-off, operation, recapitalization, and liquidation of corporations and partnerships/LLCs. Mr. Maxfield advises on mergers and acquisitions; leveraged ESOP transactions; natural resource farm-outs, farm-ins, and other joint ventures; Section 1031 exchanges; capital markets transactions (including equity and debt offerings for publicly traded partnerships and corporations); complicated partnership/LLC transactions; and equity compensation arrangements.
Mr. Maxfield is the previous chair of Holland & Hart's Tax Practice. He frequently writes and speaks both nationally and locally on a variety of tax-related topics, including corporate reorganizations, LLCs, partnerships, tax-free exchanges, ESOPs, choice of entity and natural resources taxation.
